SMS & PHONE CONSENT NOTICE

By providing your phone number and using the Service, you agree that Venue Platform, Inc. ("Venue," "we," "us," or "our") may contact you via text messages (which may include automated or prerecorded messages) for purposes related to:

  • Account verification and security
  • Service updates and operational notifications
  • Requests for feedback
  • Information about Venue features, products, or services

Message and data rates may apply. Message frequency may vary. Text STOP at any time to opt out of non-essential text messages. Consent to receive text messages is not a condition of using the Service.

1. Agreement to Terms

These Terms of Use ("Terms") are a legal agreement between you and Venue Platform, Inc., a Delaware corporation ("Venue," "we," "us," or "our") governing your access to and use of the Venue mobile application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.

2. Eligibility and Minimum Age

The Service is intended only for individuals who meet the minimum age of digital consent in their region:

  • In the United States, you must be at least 13 years old.
  • In all other countries, you must be at least 16 years old.

By using the Service, you represent and warrant that you satisfy the applicable minimum age requirement. If you do not, you may not use the Service.

3. Description of the Service

Venue provides a platform for discovering and sharing events, activities, and content related to communities, campuses, resorts, venues, and local areas. Features may include:

  • Map-based discovery of events and points of interest
  • Community and event feeds
  • User profiles and social interactions
  • Tools for businesses, communities, and hosts to post content and promotions

We may modify, expand, limit, or discontinue any part of the Service at any time.

4. Accounts and Security

  • To use certain features, you must create an account ("Account").
  • You must provide accurate and up-to-date information and keep it current.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
  • You agree to notify us immediately of any unauthorized access or use of your Account.
  • Venue may suspend or terminate your Account, or limit your access to the Service, at any time and for any reason, including violation of these Terms or safety concerns.

5. Community Accounts

Certain users may apply to create a Community Account on behalf of an organization, venue, or institution (a "Community"), such as a college, resort, mall, HOA, club, business, or similar entity. Community Accounts are subject to additional requirements because they represent real-world organizations.

5.1 Authorization and Verification

By applying for a Community Account, you represent and warrant that you are authorized to act on behalf of the Community. Venue may require documentation to verify authorization, which may include (for example):

  • an organizational email address,
  • a business or operating license,
  • a letter of authorization on official letterhead,
  • proof of affiliation such as an employee or staff ID, or
  • links to official websites listing you in an appropriate role.

Venue may approve or reject any Community Account application in its sole discretion.

It is strictly prohibited to create or attempt to create a Community Account for any identifiable organization without authorization. Venue may suspend or terminate any User Account or Community Account involved in unauthorized representation.

A Community Account belongs to the Community it represents, not to any individual. Venue may, where appropriate, adjust or transfer administrative access to reflect the organization's instructions.

5.2 Admin Management

Community Accounts may have multiple administrators (e.g., Super Admin, Content Admin, or similar roles). Super Admins may add or remove admins and modify permissions. Venue does not mediate disputes between admins or between admins and the Community. We strongly encourage each Community Account to maintain at least two (2) active Super Admins to prevent loss of access.

The Community is responsible for ensuring that its admins:

  • are properly authorized,
  • comply with these Terms, the Privacy Policy, and Community Guidelines, and
  • are removed when no longer affiliated or authorized.

Venue may suspend or revoke admin access or a Community Account if we believe there is misrepresentation, unauthorized use, safety risk, or other violation.

5.3 Fees and Billing

Community Accounts may be paid services. Pricing may vary based on Community type, location, and feature set. Applicable pricing and billing terms will be provided at onboarding, renewal, or upgrades.

By activating or using a paid Community Account, you agree to pay all applicable fees and maintain a valid payment method. Venue may restrict access or terminate a Community Account for non-payment. Except where required by law, fees are non-refundable.

5.4 Monetization Through Venue

Where monetization features are enabled (e.g., sponsored posts or in-app promotional placements), all transactions must be processed through Venue's systems. Venue receives amounts paid by users or advertisers and will distribute the applicable share to the Community. Communities may engage in sponsorships outside Venue; however, in-app monetization may not bypass Venue's systems. Violations may result in suspension or termination.

5.5 Verified Community Badge

Approved Community Accounts may display a Verified Community badge. Venue may revoke verification for loss of authorization or policy violations.

6. User Data

As you use the Service, we collect data, metadata, and information related to your activity and your device ("User Data"), as described in our Privacy Policy. User Data may include, for example:

  • Device and app identifiers
  • Usage and interaction logs
  • Location signals and approximate location (where enabled)
  • Technical and diagnostic data

You grant Venue a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to collect, use, store, process, transmit, and analyze User Data:

  • To provide, maintain, and secure the Service
  • To troubleshoot and improve performance
  • As described in the Privacy Policy
  • In aggregated or de-identified form, for analytics, product improvement, and business purposes

Aggregated or de-identified data derived from User Data is part of Venue's intellectual property.

7. User Content

The Service may allow you and other users to post or share content, including text, photos, videos, event listings, profile information, and other materials ("User Content").

7.1 Ownership

You retain ownership of your User Content.

7.2 License to Venue

By submitting or making User Content available on or through the Service, you grant Venue a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting and display), adapt, publish, distribute, display, and otherwise use your User Content:

  • To operate and provide the Service and its features
  • To promote and improve Venue in connection with the Service (e.g., screenshots, previews)

7.3 License to Other Users

Depending on your settings and the features you use, you also grant other users a non-exclusive license to access and use your User Content through the Service as permitted by its functionality (for example, viewing or sharing posts, attending events, etc.).

7.4 Removal

You may delete your User Content from the Service at any time. Some copies may remain in system backups for a limited period or in content already stored by other users.

7.5 Responsibility for User Content

You are solely responsible for your User Content and warrant that:

  • You have all rights and permissions necessary to post it;
  • It does not infringe any third party's intellectual property, privacy, or other rights;
  • It complies with these Terms and any Venue Community Guidelines.

Venue may, but is not obligated to, monitor, review, or remove User Content at our discretion.

8. Acceptable Use and Prohibited Conduct

You agree that you will not, and will not permit or assist others to:

  1. Use the Service for any purpose other than as expressly permitted in these Terms.
  2. Violate any law, regulation, or third-party right (including privacy, publicity, and intellectual-property rights).
  3. Harass, threaten, abuse, or harm another person or organization.
  4. Post or share content that is illegal, defamatory, hateful, violent, sexually explicit involving minors, or otherwise objectionable.
  5. Post content that you do not have the right to share, including copyrighted or confidential information.
  6. Use the Service for unauthorized commercial activities, such as unsolicited promotions or spam.
  7. Disassemble, reverse engineer, or attempt to derive source code from any part of the Service.
  8. Use any automated system (including bots, scrapers, or crawlers) to access, query, or copy the Service except as explicitly allowed via documented APIs.
  9. Interfere with or compromise the integrity or security of the Service, including attempts to bypass rate limits or access controls.
  10. Use the Service to benchmark or develop a competing product or service.
  11. Attempt to gain unauthorized access to Accounts, networks, or systems.
  12. Upload or transmit viruses, malware, or other harmful code.
  13. Misrepresent your identity or affiliation, or impersonate any person or entity.
  14. Sell, transfer, or share your Account credentials with any other person.
  15. Identify, refer to, or display Venue in a way that suggests an endorsement or partnership without our prior written consent.

Venue may investigate and take any action we deem appropriate, including removing content, restricting features, or suspending or terminating Accounts.

9. Changes to the Service

We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We may also introduce or change usage limits. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Interactions with Other Users

You are solely responsible for your interactions with other users. Venue has no obligation to monitor disputes between users but may choose to do so. Venue is not responsible for the actions or content of other users, and you agree that you use the Service at your own risk.

11. Third-Party Services, Links, and Advertisers

The Service may link to or integrate with third-party services, websites, apps, or content ("Third-Party Services"), including maps, analytics providers, or payment processors, and may display promotions or offers from sponsors or advertisers.

  • Venue does not control and is not responsible for Third-Party Services.
  • Your use of Third-Party Services is subject to their own terms and privacy policies, not ours.
  • Any dealings you have with advertisers or sponsors (including payment and delivery) are solely between you and the third party.
  • You agree that Venue is not liable for any loss or damage arising from your use of Third-Party Services or your dealings with advertisers.

12. Intellectual Property and Feedback

Except for User Content, the Service and all related software, text, images, graphics, logos, trademarks, and other materials ("Venue Content") are owned by Venue or its licensors and are protected by intellectual-property laws.

You may not use Venue Content except as necessary to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works of the Service or any Venue Content.

If you provide comments, suggestions, or ideas about the Service ("Feedback"), you agree that Venue may use that Feedback without restriction or compensation to you, and you waive any claim based on Venue's use of, or failure to use, any Feedback.

13. Paid Features and Future Changes

Venue may introduce paid features, subscriptions, promotions, or in-app purchases in the future. If we do:

  • We will present clear pricing and billing terms before any charge.
  • Additional terms may apply to specific paid features; those will supplement these Terms.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, share, and protect your information when you access Venue. By using the Service, you agree to the practices described in the Privacy Policy and consent to the processing of your information in the United States and in other countries where we or our service providers operate. Venue does not use browser cookies for logged-in features; instead, the app relies only on mobile application-level identifiers and permissions, which you control through your device settings.

15. Account Suspension, Termination, and Deletion

Venue may suspend or terminate your Account or access to all or part of the Service at any time, with or without notice, if:

  • You violate these Terms or other policies (e.g., Community Guidelines).
  • We believe your behavior poses a risk to other users, Venue, or third parties.
  • We discontinue the Service.

You may delete your Account at any time via the in-app account deletion process. Deletion is permanent and cannot be reversed. Certain information may be retained for a limited period to comply with legal obligations, prevent fraud or abuse, or enforce these Terms.

16. Security

We use commercially reasonable safeguards to protect your information and the integrity of the Service. However, no system is perfectly secure.

You acknowledge that:

  • We cannot guarantee that unauthorized third parties will never be able to defeat our security measures or misuse your information.
  • You provide your information at your own risk.

17. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Venue does not warrant that:

  • The Service will be uninterrupted, secure, or error-free;
  • Any defects or errors will be corrected;
  • Information on the Service is accurate, complete, or current;
  • The Service or servers are free of viruses or other harmful components.

Any content you access or download through the Service is at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by law.

18. Limitation of Liability

To the maximum extent permitted by law, in no event will Venue or its affiliates, officers, employees, or licensors be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to:

  • Your access to or use of, or inability to access or use, the Service;
  • Any conduct or content of other users or third parties;
  • Unauthorized access to or use of our servers or any personal data stored therein.

To the maximum extent permitted by law, Venue's total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of:

  • The amount you paid to Venue for use of the Service in the twelve (12) months preceding the claim, or
  • US $100.00.

Some jurisdictions do not allow limitations of liability for certain damages. In such cases, these limitations apply only to the extent permitted by law.

19. Indemnification

You agree to indemnify and hold harmless Venue and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service;
  • Your User Content or User Data;
  • Your violation of these Terms;
  • Your violation of any law or third-party right.

20. DMCA / Copyright Complaints

Venue respects intellectual-property rights and will respond to notices of alleged copyright infringement that comply with applicable law.

If you believe that content on the Service infringes your copyright, you may submit a notice including:

  1. Your physical or electronic signature.
  2. Identification of the copyrighted work you claim has been infringed.
  3. Identification of the allegedly infringing material and its location on the Service.
  4. Your contact information (address, telephone number, and email).
  5. A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
